Agreement to Terms

By accessing and using Smart Assign AI ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.

Description of Service

Smart Assign AI is an Atlassian Forge application that provides:

• Intelligent Issue Assignment: Automatically assigns Jira issues to team members based on skills, workload, and preferences
• AI-Powered Work Plans: Generates detailed technical work plans using artificial intelligence
• Team Management: Manages team skills, availability, and assignment preferences
• Analytics: Provides usage statistics and assignment analytics

User Accounts and Access

Account Requirements

• You must have a valid Atlassian account and Jira access
• You must provide accurate and complete information
• You are responsible for maintaining the confidentiality of your account
• You must notify us immediately of any unauthorized use of your account

Permissions and Responsibilities

• You must have appropriate permissions in your Jira instance to use the Service
• You are responsible for all activities that occur under your account
• You must comply with your organization's policies regarding third-party applications

Acceptable Use

Permitted Uses

You may use the Service to:

• Automatically assign Jira issues to team members
• Generate AI-powered work plans for development tasks
• Manage team skills and workload distribution
• View analytics and usage statistics

Prohibited Uses

You may NOT use the Service to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Transmit malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to systems or data
• Use the Service for any illegal or unauthorized purpose
• Interfere with or disrupt the Service or servers
• Reverse engineer, decompile, or disassemble the Service

Data and Privacy

Data Ownership

• You retain ownership of all data you input into the Service
• We do not claim ownership of your Jira data, team information, or project details
• You grant us a limited license to process your data solely to provide the Service

Data Processing

• We process your data according to our Privacy Policy
• Your data may be transmitted to third-party services (e.g., OpenAI) for AI processing
• We implement reasonable security measures to protect your data

Data Backup

• You are responsible for backing up your important data
• We are not liable for any data loss during the beta testing period

Intellectual Property

Our Rights

• Smart Assign AI and all related intellectual property belong to us
• The Service, including its design, functionality, and algorithms, is proprietary
• You may not copy, modify, or distribute the Service without permission

Your Rights

• You retain all rights to your data and content
• You may provide feedback, suggestions, or ideas about the Service
• We may use your feedback to improve the Service without compensation

Third-Party Services

OpenAI Integration

• The Service integrates with OpenAI for AI work plan generation
• OpenAI's terms of service and privacy policy apply to their services
• We are not responsible for OpenAI's actions or policies

Atlassian Integration

• The Service integrates with Atlassian's APIs and services
• Atlassian's terms of service apply to their platform
• We comply with Atlassian's security and privacy requirements

Payment and Billing

Beta Testing

• The Service is currently free during the beta testing period
• We reserve the right to introduce paid plans after beta testing
• We will provide reasonable notice before implementing any charges

Future Billing

• Paid plans may be introduced after beta testing
• Billing terms will be clearly communicated before implementation
• You may cancel your subscription at any time

Service Availability

Uptime and Reliability

• We strive to maintain high service availability but cannot guarantee 100% uptime
• The Service may be temporarily unavailable for maintenance or updates
• We are not liable for service interruptions during beta testing

Updates and Changes

• We may update the Service with new features or improvements
• Updates may be applied automatically
• We will notify users of significant changes when possible

Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• WARRANTIES OF MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY OR RELIABILITY

Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR:

• ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
• LOSS OF PROFITS, DATA, OR USE
• BUSINESS INTERRUPTION
• DAMAGES RESULTING FROM USE OR INABILITY TO USE THE SERVICE

Maximum Liability

Our total liability to you for any claims related to the Service shall not exceed the amount you paid for the Service in the 12 months preceding the claim, or $100, whichever is greater.

Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your violation of applicable laws or regulations

Termination

Termination by You

• You may stop using the Service at any time
• You may request deletion of your data (subject to legal requirements)
• Termination does not relieve you of obligations incurred before termination

Termination by Us

• We may suspend or terminate your access to the Service at any time
• We may terminate the Service entirely during beta testing
• We will provide reasonable notice when possible

Effect of Termination

• Your right to use the Service ceases immediately
• We may retain certain data as required by law or for legitimate business purposes
• Provisions that by their nature should survive termination will remain in effect

Governing Law and Disputes

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Illinois, United States, without regard to conflict of law principles.

Dispute Resolution

• Any disputes shall be resolved through binding arbitration
• Arbitration shall be conducted in Illinois, United States
• You waive the right to participate in class action lawsuits

Changes to Terms

Modification Rights

• We may modify these Terms at any time
• Material changes will be communicated through the Service or email
• Continued use of the Service after changes constitutes acceptance

Notice of Changes

• We will provide at least 30 days notice for material changes
• Changes will be posted on this page with an updated "Last Updated" date
• Your continued use constitutes acceptance of the modified Terms

Severability

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions will remain in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service.
